Promotion Partner Terms¶
Version 2026-08 · Effective 5 August 2026
Draft pending legal review
These terms have not yet been reviewed by a Dutch lawyer. We do not sign a partner onto them until that review is complete
These terms govern the promotion partner programme operated by KN Software & Services B.V., Veluwezoom 5, 1327AA Almere, the Netherlands ("we", "us"), for the Punchcard service.
By accepting these terms you enter into an agreement with us. We record the version you accepted and the date.
1. Who can be a partner¶
1.1 You must be a registered business: a KVK-registered undertaking, a holder of a valid EU VAT identification number, or an equivalently registered company outside the EU. We do not contract with private individuals.
1.2 You must give us your registered name, address, and registration or VAT number, and tell us promptly if any of them change. We validate EU VAT numbers against VIES when you join and before each payment.
1.3 You must not be subject to EU sanctions, and must not be established in a jurisdiction we are prohibited from dealing with.
1.4 You must not be an employee of an organisation you refer, unless that organisation has approved the arrangement in writing. Commission paid to someone who steers their employer's purchasing decision may constitute bribery.
2. Term¶
2.1 This agreement runs for an initial fixed term of twelve months from acceptance.
2.2 It does not renew automatically. Continuing beyond the initial term requires written agreement between us.
2.3 Either party may terminate on thirty days' written notice. We may terminate immediately for a breach of clause 5 (Prohibited methods).
3. What you may do¶
3.1 You may promote Punchcard publicly, in your own name, to your own audience: your website, newsletter, social channels, videos, courses, communities and talks.
3.2 We give you a referral link and may give you a discount code. Both identify you.
3.3 You act on your own account and in your own name. You are not our agent, employee, representative or partner, and you have no authority to negotiate, conclude or vary any contract on our behalf, to make commitments about our product or roadmap, or to hold yourself out as speaking for us.
3.4 Nothing in this agreement creates a maatschap, vennootschap onder firma, commanditaire vennootschap, joint venture or employment relationship. Commission is a fee for services rendered (vergoeding voor verrichte diensten), not a share of our profits. You bear none of our costs and none of our losses.
3.5 This agreement is non-exclusive. We may work with any number of other partners, and you may promote whatever else you like, including competing products.
3.6 There are no targets, no territories, no assigned accounts, no minimum activity, and no obligation to report on your pipeline or plans.
4. Disclosure¶
4.1 Every piece of content carrying your link or code must disclose that you receive a commission. This is a legal requirement under Dutch and EU consumer law, not a courtesy.
4.2 The disclosure must appear in the first sentence or as the first element of the content, be visible without clicking, expanding or scrolling, appear on every platform the content is posted to, and be repeated on every individual Story or equivalent ephemeral post.
4.3 Wording such as "Advertentie — ik ontvang een vergoeding als je via deze
link een abonnement afsluit" or "Ad — I earn a commission if you subscribe
through this link" is sufficient. A bare #ad placed after a "more" cut-off is
not.
4.4 Where the platform provides a paid-partnership or branded-content disclosure tool, you must use it in addition to the text disclosure.
4.5 You must declare in advance every account, site and channel you will post from. Posting from an undeclared channel is a breach.
5. Prohibited methods¶
You must not, directly or through anyone acting for you:
5.1 Send any unsolicited commercial communication. This includes cold email, SMS, WhatsApp, direct messages, LinkedIn messages or InMail, and cold calling. It applies to business recipients as well as consumers.
5.2 Use purchased, rented, scraped or co-registered contact lists.
5.3 Bid on "Punchcard" or confusingly similar terms in paid search, or use them in ad copy suggesting you are the official site.
5.4 Register domains confusingly similar to ours. If you have, you will transfer them to us on request.
5.5 Use cookie stuffing, forced clicks, adware, or any technique that attributes a referral the customer did not make.
5.6 Generate incentivised or artificial signups.
5.7 Post or commission fake, incentivised or misleading reviews or testimonials.
5.8 Refer yourself, anyone in your household, or any business you control.
5.9 Represent yourself as us, as our employee, or as an "official" representative, or present yourself as an ordinary unpaid customer.
5.10 Issue press releases, investor communications or public statements about us without our prior written consent.
5.11 Make any claim about Punchcard's features, pricing, trial or refund terms other than those published on punchcard.online or docs.punchcard.online.
5.12 Promote Punchcard alongside adult content, gambling, or unlawful material.
5.13 Appoint sub-partners or share your link or code with anyone to promote on your behalf.
6. Commission¶
6.1 You earn 30% of net revenue for the first twelve months in which a referred customer pays, unless we have agreed different terms with you in writing.
6.2 "Net revenue" means the amount actually received and retained by us after payment processing fees, taxes, refunds and chargebacks. It is not a percentage of the list price.
6.3 A customer is attributed to you if they sign up within 90 days of clicking your link, or if they use your discount code. Each customer is attributed to exactly one partner. Where signals conflict, the first in time prevails.
6.4 Commission accrues when the customer's payment completes and becomes payable 45 days later.
6.5 If a payment is refunded or charged back, the related commission is reversed. Chargeback reversals are not time-limited: a chargeback can arrive months after the payment. A reversal is set off against your next statement, and if your balance is negative at termination the amount is repayable to us.
6.6 Commission is payable once your balance reaches €40. Payment runs occur twice yearly, in January and July. On termination we settle any remaining balance regardless of amount.
6.7 You invoice us. Your invoice must comply with the law of your country and, where applicable, state "btw verlegd" / "VAT reverse charged" together with both VAT identification numbers. We do not self-bill.
6.8 Commission is stated gross of any tax imposed in your own jurisdiction. If your country requires withholding on payments to us or from us, that is your cost; we will not gross up.
6.9 We may suspend payment and withhold commission where we reasonably suspect a breach of clause 5, pending investigation. If the breach is established, unpaid commission is forfeited.
7. Monitoring¶
7.1 We approve each partner and each channel before activation.
7.2 We review partner content, and you must give us access to any content carrying your link or code on request.
7.3 You must remove or correct any content we identify as non-compliant within 24 hours of notice.
8. Data¶
8.1 We show you aggregate statistics only: how many people signed up, how many subscribed, and what you have earned, grouped by month. We do not disclose the identity of any customer, and you must not attempt to identify them.
8.2 Where you process personal data of your own audience, you do so as an independent controller and are responsible for your own compliance.
9. Intellectual property¶
9.1 We grant you a non-exclusive, revocable, non-transferable licence to use the Punchcard name and logo solely to promote Punchcard under these terms, in accordance with any brand guidance we provide.
9.2 The licence ends when this agreement does. You must then remove our marks and stop using your link and code.
10. Liability and indemnity¶
10.1 You indemnify us against any claim, fine, penalty or loss arising from your breach of these terms, in particular clauses 4 and 5.
10.2 Our total liability under this agreement is limited to the commission payable to you in the twelve months preceding the claim.
10.3 Neither party is liable for indirect or consequential loss.
11. Changes¶
11.1 We may change these terms on thirty days' written notice. Commission already accrued is unaffected.
11.2 If you do not accept the change, you may terminate before it takes effect and we will settle your balance.
12. Governing law¶
12.1 These terms are governed by the law of the Netherlands.
12.2 Disputes go first to good-faith mediation. Failing that, to the exclusive jurisdiction of the competent courts of Amsterdam.
